These Terms & Conditions (“Terms”) govern the use of services provided by GoodWord Co (“GoodWord Co”, “we”, “our”, or “us”).
By purchasing, accessing, or using our services, software, systems, website, or communication platforms, you (“Client”, “you”, or “your”) agree to these Terms.
1. Services
GoodWord Co provides reputation management and communication automation services including, but not limited to:
Review request automation
SMS and email communication systems
Customer reactivation campaigns
CRM and workflow automation
Reputation management systems
Social media review posting
Subscription software access
White-labelled software and communication systems
Services may be modified, updated, suspended, or discontinued at any time without notice.
2. No Guarantee of Results
GoodWord Co does not guarantee:
A specific number of reviews
Positive reviews
Increased revenue or sales
Improved Google rankings
Increased customer enquiries
Social media growth
Customer response rates
Business growth or performance outcomes
Results depend on factors outside our control including:
Client workflow volume
Existing customer database quality
Customer satisfaction
Customer response behaviour
Industry competition
Platform algorithms and policies
Business operations and service quality
Any examples, testimonials, projections, or case studies are illustrative only and do not guarantee future results.
3. Client Responsibilities
The Client warrants that all customer contact information uploaded, imported, supplied, or otherwise made available to GoodWord Co has been collected lawfully and may be contacted for the purposes intended by the Client.
The Client accepts full responsibility for obtaining any required consent, permission, or authority from customers prior to communication.
The Client remains solely responsible for ensuring compliance with all applicable privacy, anti-spam, telecommunications, and marketing laws.
GoodWord Co does not independently verify customer consent, customer data accuracy, or legality of customer contact databases supplied by clients.
3A. Founder Programs and Promotional Offers
GoodWord Co may offer founder programs, free trials, promotional periods, discounted services, or other special offers at its discretion.
Participation in any founder program or promotional offer does not guarantee ongoing access to services at the same pricing, terms, or conditions.
At the conclusion of any trial or promotional period, services will only continue as a paid subscription where agreed by the Client.
GoodWord Co reserves the right to modify, withdraw, extend, or discontinue any promotional offer at any time.
4. Subscription Services
Certain services are provided on a recurring subscription basis.
By subscribing, the Client authorises recurring billing until cancelled.
Clients may cancel at any time before the next billing date.
If a subscription renewal payment has already been processed, the renewed billing period is non-refundable.
Cancellation requests submitted after rebilling will apply to the following billing cycle.
5. Fees and Payments
Clients agree to pay all fees, subscription charges, setup costs, usage fees, and applicable taxes associated with the services.
Payments may be processed through third-party payment providers including Stripe.
Failure to make payment may result in:
Service suspension
Removal of access
Disabling of automations or messaging systems
Termination of services
GoodWord Co reserves the right to recover outstanding balances and associated collection costs.
6. Refund Policy
Unless required by Australian Consumer Law, all payments made to GoodWord Co are non-refundable.
This includes:
Subscription payments
Setup fees
Onboarding fees
SMS and communication costs
Software access fees
Custom configuration or automation work
No refunds will be provided for partial billing periods or unused services.
7. SMS, Email, and Communications
Clients acknowledge that services may involve automated communications sent via SMS, email, or other communication channels.
Clients are solely responsible for:
Lawful use of customer contact information
Compliance with anti-spam and telecommunications laws
Message content and campaign activity
GoodWord Co is not responsible for:
Failed message delivery
Delayed communications
Carrier filtering
Platform restrictions
Incorrect customer data
Customer opt-outs
Messaging errors caused by third-party providers
8. Third-Party Platforms and Providers
Services may rely on third-party providers, software, integrations, and infrastructure.
GoodWord Co is not responsible for:
Third-party outages
API failures
Data loss
Platform policy changes
Account suspensions
Review removals
Service interruptions
External provider failures
GoodWord Co is not affiliated with or endorsed by:
Google
Meta
Stripe
GoodWord Co does not control, influence, approve, alter, remove, or guarantee publication of reviews on third-party review platforms.
Third-party platforms including Google may remove, filter, moderate, reject, suspend, or otherwise manage reviews and listings at their sole discretion.
GoodWord Co accepts no responsibility for actions taken by third-party review platforms.
8A. Client Account Access
Where required for service delivery, Clients may provide GoodWord Co with access to third-party platforms, business accounts, software systems, websites, social media accounts, Google Business Profiles, advertising accounts, or related services.
Clients remain the owners and administrators of their accounts at all times.
GoodWord Co does not assume ownership, control, or responsibility for any third-party account provided by the Client.
Clients are responsible for maintaining account security, passwords, recovery methods, administrator access, and account ownership records.
GoodWord Co is not liable for account suspensions, account removals, security breaches, unauthorised access, password loss, ownership disputes, platform restrictions, or actions taken by third-party providers including Google, Meta, Microsoft, Stripe, or other external services.
9. No Fake Reviews or Unlawful Use
Clients must not use the services for:
Fake reviews
Fraudulent activity
Misleading conduct
Spam campaigns
Harassment
Illegal marketing activity
Unauthorised communications
GoodWord Co reserves the right to suspend or terminate services immediately where misuse is suspected.
10. Suspension and Termination
GoodWord Co may suspend or terminate services at any time where a Client:
Breaches these Terms
Fails to make payment
Creates legal or reputational risk
Misuses the platform
Engages in unlawful conduct
Violates third-party platform rules
Upon suspension or termination:
Access may be removed immediately
Automations may stop functioning
Messaging services may cease
Phone numbers or communication services may be disconnected
GoodWord Co is not responsible for losses arising from service suspension or termination.
11. Intellectual Property
All systems, workflows, automations, templates, configurations, processes, branding, and proprietary assets created or provided by GoodWord Co remain the intellectual property of GoodWord Co unless otherwise agreed in writing.
Clients retain ownership of their own customer data.
Clients may not:
Copy
Resell
Reproduce
Reverse engineer
Redistribute
any proprietary systems or materials without written permission.
Clients grant GoodWord Co a limited right to use business names, logos, testimonials, feedback, case studies, and non-confidential performance results for marketing purposes only where permission has been provided by the Client.
GoodWord Co will not publicly publish identifiable client information without consent.
12. Limitation of Liability
To the maximum extent permitted by Australian law, GoodWord Co is not liable for any:
Indirect damages
Consequential damages
Loss of revenue
Loss of profits
Loss of customers
Loss of reputation
Business interruption
Data loss
Platform downtime
arising from use of the services.
The total liability of GoodWord Co for any claim is limited to the amount paid by the Client to GoodWord Co in the previous 30 days before the claim arose.
Services are provided on an “as is” and “as available” basis.
Clients are responsible for maintaining independent backups of customer information, business records, spreadsheets, databases, and data supplied to GoodWord Co.
GoodWord Co is not responsible for data loss resulting from third-party platforms, integrations, imports, exports, synchronisation failures, software errors, user actions, or external provider failures.
13. Indemnity
Clients agree to indemnify and hold harmless GoodWord Co, its owners, employees, contractors, and affiliates from any claims, liabilities, damages, penalties, legal costs, or expenses arising from:
Customer data supplied by the Client
Alleged spam or privacy breaches
Client campaigns or communications
Breach of law
Misuse of the services
Third-party claims related to Client activities
14. Force Majeure
GoodWord Co is not liable for delays or failures caused by events outside reasonable control including:
Internet outages
Telecommunications failures
Cyber attacks
Software provider failures
Natural disasters
Government actions
Power outages
15. Changes to Services or Terms
GoodWord Co may modify services, pricing, systems, or these Terms at any time.
Updated Terms become effective upon publication or notification.
Continued use of services constitutes acceptance of updated Terms.
16. Governing Law
These Terms are governed by the laws of South Australia, Australia.
Any disputes arising from these Terms or the services shall be subject to the jurisdiction of the courts of South Australia.
